End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Direct Link Corporation ("Developer") for the use of this software platform, including any associated services, documentation, updates, or enhancements ("Software"). By accessing or using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Unless other arrangements have been made, The Developer grants the User a non-exclusive, non-transferable license to access and use the Software solely for internal business purposes and does not permit resale, redistribution, or sublicensing of the Software.

Licenses are granted on a per rooftop basis and are subject to a recurring monthly subscription fee. Each individual dealership location ("rooftop") must maintain its own separate license unless explicitly approved in writing by the Developer.

2. Restrictions

The User agrees not to: (a) reverse engineer, decompile, or disassemble the Software; (b) remove any proprietary notices or labels; or (c) use the Software in any manner that violates applicable laws or third-party rights.

3. Ownership

The Software is licensed, not sold. All rights, title, and interest in and to the Software, including any updates or enhancements, remain with the Developer.

4. Data Responsibility

The User is solely responsible for all data input into the system and for ensuring the accuracy, legality, and security of that data.

5. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied. The Developer does not warrant that the Software will meet the User's requirements or that the operation will be uninterrupted or error-free.

6. Limitation of Liability

In no event shall the Developer, its affiliates, or its employees be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Software, including but not limited to loss of data, business interruption, or loss of profits, even if advised of the possibility of such damages.

7. Termination

This Agreement is effective until terminated. The User may terminate it at any time by discontinuing use of the Software. The Developer may terminate this Agreement if the User violates any term of this Agreement. Upon termination, all rights granted under this Agreement will immediately cease.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict of law provisions.

9. Acknowledgment

By using this Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
